PLEASE READ THESE TERMS CAREFULLY. They contain a binding individual arbitration agreement and a class-action waiver (Section 18) that affect your legal rights, important disclaimers of warranties (Section 14), and a limitation of our liability (Section 15). By creating an account or using the Service, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "User") and Global Digital Services, LLC, a Florida limited liability company (Florida document no. L21000399021), trading as SkillCertify ("SkillCertify", "we", "us", "our"), governing your access to and use of the SkillCertify website at skillcertify.io, applications, APIs, assessments, labs, and related services (collectively, the "Service"). These Terms incorporate by reference our Privacy Policy and Data Policy.
We may provide additional terms for specific features (e.g., the Creator Program or enterprise plans). Where additional terms conflict with these Terms, the additional terms control for that feature. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
You may use the Service only if you:
You are responsible for safeguarding your credentials and for all activity under your account. You must notify us immediately at support@skillcertify.io of any unauthorized use. We are not liable for any loss arising from your failure to secure your account.
SkillCertify is a skills-assessment and recruitment platform that lets organizations create and assign technical assessments, interviews, and hands-on labs, and lets talent complete them. The Service includes automated and AI-assisted evaluation, AI interviews, proctoring and anti-fraud monitoring in hiring workflows, certificates for passed tests, an Integration API, webhooks and an MCP server for organizations, a credit system, and a creator marketplace. We may add, modify, suspend, or discontinue any part of the Service at any time, with or without notice.
Beta / pre-release. The Service is currently offered on a beta (pre-release) basis. It may contain bugs, be incomplete or unstable, change materially, or experience interruptions and data loss, and is provided for evaluation. Beta features are made available “as is” under Sections 14–15 (Disclaimers and Limitation of Liability), and we may change or remove them at any time.
Each role is subject to these Terms and any role-specific terms presented in-product. Organizations are solely responsible for their hiring decisions and for compliance with all applicable employment, anti-discrimination, and data-protection laws in their use of the Service and any candidate data they obtain through it.
Integrations. Organizations may connect their own systems through our Integration API and webhooks, and connect an AI assistant through our MCP server. You must keep API keys and webhook signing secrets confidential, are responsible for all activity under them, and must revoke a key you believe is compromised. Candidate data you retrieve through these channels is under your control as data controller once it leaves the Service, including when you send it to a third-party AI assistant under that provider's terms. Invitations and actions taken through these channels are charged and treated exactly as if taken in the product.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
We may investigate suspected violations and cooperate with law enforcement. We reserve the right to invalidate results, remove content, and suspend or terminate accounts for any violation, in our sole discretion.
Assessments must be completed honestly and independently. To protect integrity, the Service uses automated and AI-assisted measures including, where enabled, webcam capture, periodic snapshots, behavioral and environment monitoring, and fraud signals. Before a proctored assessment starts you are asked to accept the webcam check (once per hiring workflow); by accepting you expressly consent to such capture and processing for integrity and security purposes, and to the organization that sent you the assessment seeing its snapshots. Declining ends that assessment, as further described in our Privacy Policy and Data Policy.
You represent that you have the right to enable any camera, microphone, or screen capture used during an assessment. Integrity violations may result in score invalidation, removal from a pipeline, account suspension, and notification to the assigning organization.
The Service uses artificial-intelligence and machine-learning systems (including third-party models) to generate scores, feedback, reports, matching suggestions, and fraud signals. These outputs are probabilistic, may contain errors, and are provided for informational and decision-support purposes only. They are not a determination of any individual's abilities, character, or suitability for employment.
Organizations must not rely on AI-generated outputs as the sole basis for any employment, hiring, rejection, or other consequential decision, and are solely responsible for human review and for compliance with applicable laws governing automated decision-making, fairness, and non-discrimination (including, where applicable, GDPR Art. 22 and local AI/employment regulations). SkillCertify disclaims responsibility for decisions made by organizations using the Service.
SkillCertify is a tool, not an employer, recruiter, or agency. We do not guarantee any job, interview, offer, hiring outcome, score, certification value, candidate quality, response, or earnings. Any references to potential outcomes or credits are illustrative and not promises. Your results depend on factors outside our control.
Certificates. A SkillCertify certificate records that its holder passed a specific SkillCertify test, with the stated score, on the stated date. It is not a professional licence, degree, or accreditation by any other body. Anyone with a certificate's code or link can verify it. We may revoke a certificate that was issued in error or obtained in breach of Sections 5 or 6; a revoked certificate shows as not valid. Certificates are deleted when the holder's account is deleted.
The Service uses a credit system. Credits and paid plans are purchased through the platform and processed by our third-party payment provider (Stripe); we do not store full payment-card details. You authorize us and our provider to charge your selected payment method for all amounts due, including applicable taxes.
Chargebacks or payment reversals made without first contacting us may result in suspension. Creator earnings and payouts are subject to the Creator Program terms, verification, and minimum-threshold and anti-fraud requirements.
"User Content" means any content you submit, including profile data, assessment responses, interview recordings, labs, messages, and feedback. You retain ownership of your User Content. You grant SkillCertify a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, display, and distribute your User Content solely to operate, secure, improve, and provide the Service and as described in our Privacy Policy.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third-party rights or violate any law. You are solely responsible for your User Content. We may remove any content that we believe violates these Terms or applicable law.
The Service, including all software, designs, text, graphics, assessments, default labs, trademarks, and the "SkillCertify" name and logo, is owned by SkillCertify or its licensors and is protected by intellectual-property laws. Except for the limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms, no rights are granted to you. You must not copy, modify, distribute, sell, or create derivative works from the Service without our prior written consent.
The Service relies on third-party providers, which include Stripe (payments), Anthropic, Google and OpenAI and ElevenLabs (AI and voice features), Resend (email), Microsoft (analytics), and our hosting and storage infrastructure (Hostinger, Amazon Web Services). Your use of those features may be subject to the providers' own terms, which bind you directly. Sharing a certificate on LinkedIn, or connecting an AI assistant to the Service, sends the shared data to that provider at your request, under its terms.Payments. All card payments are processed exclusively by Stripe, a PCI-DSS Level 1 certified payment processor. Card numbers, security codes and expiry dates are submitted directly to Stripe and never pass through or rest on our systems. Stripe is responsible for the security and processing of that payment data under its own terms.Acts of third parties. We do not control these providers and are not liable for their acts, omissions, outages, security incidents, price changes or discontinuation, including where a provider suspends or degrades a feature of the Service. Their inclusion does not imply endorsement.Data protection is not delegated. Nothing in this Section reduces our own obligations as data controller under applicable data-protection law. We require these providers to process personal data only on our instructions and for the purposes described in our Data Policy, and we are putting data processing agreements in place with each of them. The current sub-processor list is described in our Data Policy.
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms. By using the Service you acknowledge that data may be processed as described there. Where you provide other people's personal data (e.g., an organization processing candidate data), you are responsible for having a lawful basis to do so and for your own compliance obligations as a controller.
The Service, including all assessments, labs, AI outputs, scores, and content, is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, SkillCertify disclaims all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any result, score, match, or output will be accurate, complete, or reliable. You use the Service at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
To the maximum extent permitted by law, in no event will SkillCertify, its officers, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or hiring/employment outcome, arising out of or relating to the Service or these Terms, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by law, SkillCertify's total aggregate liability for all claims relating to the Service or these Terms will not exceed the total amounts you paid to SkillCertify in the twelve (12) months before the event giving rise to the claim, and will in no event exceed five hundred U.S. dollars (US$500) in aggregate. Where you have paid no amounts to SkillCertify, our total aggregate liability will not exceed fifty U.S. dollars (US$50). This limit applies in aggregate across all claims; multiple claims do not enlarge it.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence). Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you. These limitations are an essential basis of the bargain between you and us.
You agree to defend, indemnify, and hold harmless SkillCertify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or any law; (d) your violation of any third-party right, including privacy, employment, or intellectual-property rights; or (e) for organizations, your hiring and assessment decisions and your processing of candidate data.
You may stop using the Service at any time. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure, engaged in fraud or abuse, or for operational, security, or legal reasons. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including Sections 7–21, and any fees, amounts owed, and non-refundability under Section 9) will survive termination. We are not liable for any consequence of suspension or termination made in accordance with these Terms.
Harmful accounts & cooperation with authorities. We reserve the right, at our sole discretion and without notice, to suspend, restrict, or permanently ban any account that we reasonably believe is engaged in, facilitating, or associated with harmful, unlawful, fraudulent, abusive, or malicious activity — including security breaches or attacks, unauthorized access, malware distribution, money laundering, terrorism or violent extremism, exploitation, threats to persons or infrastructure, or any other conduct that endangers the Service, our users, or the public. To the extent permitted or required by applicable law, we may preserve and disclose account information, content, logs, and related data to, and otherwise cooperate with, law enforcement, regulatory bodies, and government or governmental authorities in connection with any such activity, an investigation, a court order or legal process, a security breach, or a credible threat of harm. We may take these actions to comply with the law, to enforce these Terms, or to protect the rights, property, or safety of SkillCertify, our users, or others.
Please read this Section carefully — it affects your legal rights. The parties will first attempt to resolve any dispute informally by contacting legal@skillcertify.io and negotiating in good faith for at least thirty (30) days.
If the dispute is not resolved, you and SkillCertify agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property or confidential information. The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, or, where you are an individual using the Service for personal purposes, under its Consumer Arbitration Rules, in each case as in effect when the arbitration is commenced. The arbitration will be conducted in the English language and seated in Brevard County, Florida, or at your election conducted by telephone, video conference, or on documents only. If the AAA is unavailable or declines to administer the arbitration, the parties will agree on a substitute administrator, and failing agreement a court of competent jurisdiction may appoint one.
Costs. For any claim brought by an individual consumer, we will pay the filing, administration and arbitrator fees that exceed what a court filing fee would have cost you, except where the arbitrator determines your claim was frivolous.
Your right to opt out. You may opt out of this arbitration agreement by emailing legal@skillcertify.io with your name and account email within thirty (30) days of first accepting these Terms. Opting out does not affect any other part of these Terms, and we will not treat it as a reason to limit or terminate your access.
Time limit. Any claim relating to the Service or these Terms must be brought within one (1) year after it arises, or it is permanently barred, except where applicable law does not permit a shortened limitation period.
Consumers. Nothing in this Section removes any right you have under mandatory consumer-protection law that cannot be waived by agreement.
Class-action and jury-trial waiver: to the maximum extent permitted by law, you and SkillCertify each waive any right to a jury trial and agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable for a given claim, that claim (and only that claim) will proceed in court.
Where mandatory consumer-protection law gives you a non-waivable right to bring proceedings in your local courts (for example, certain EU/EEA, UK, or other consumer protections), nothing in this Section removes that right. Any claim must be filed within one (1) year after it arises, to the extent permitted by law.
These Terms and any dispute relating to them are governed by the laws of the State of Florida, United States, where Global Digital Services, LLC is established, without regard to its conflict-of-laws principles, and subject to Section 18. The state and federal courts located in Brevard County, Florida have exclusive jurisdiction over any dispute not subject to arbitration under Section 18. Where applicable mandatory law (including consumer-protection and data-protection law) provides otherwise, that mandatory law applies. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service and update the "Last updated" date above. Changes take effect when posted (or on the stated effective date). Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.
